Terms of Service
Last updated 20 October 2026
These terms are a contract between you and VVOXA (say "Voxa"; the first V is silent). They cover the VVOXA website at vvoxa.com and the VVOXA service. Please read them. They include a non-refundable setup fee, an automatic monthly charge, binding arbitration, a class-action and jury waiver, and a limit on what we owe you if something goes wrong.
When these terms apply. This version applies to anyone who signs up on or after the date at the top of this page. If you signed up before then, the version you agreed to keeps applying until this one takes effect for you: 30 days after we email it to you, or sooner if you accept it (for example, by ticking the box at checkout).
The short version. This box is a summary. The full terms below are what count.
- Setup is $1,000, charged when you sign up, and is never refunded, even if you cancel during the free month.
- The $500/month plan is free for the first 30 days. Unless you cancel before then, $500 is charged automatically 30 days after checkout and every month after that until you cancel.
- Cancel any time at vvoxa.com/account (Manage billing) or by emailing info@vvoxa.com. No refunds for partial months, except where the law requires.
- Every call is recorded, transcribed and handled by AI. You are responsible for telling your callers and getting any consent the law requires.
- You and the people you add to your account can listen live to your calls and, depending on their role, change what your receptionist says. You are responsible for those changes, for the people you add, and for the services you connect.
- AI makes mistakes and the service can go down. It is not an emergency line and it is not set up for health information under HIPAA.
- We log your IP address, device, sign-ins, the pages you view and what you do in your account.
- Disputes go to individual binding arbitration, not court, and not class actions. You can opt out of arbitration within 30 days.
1. Who We Are and What These Terms Cover
VVOXA ("VVOXA", "we", "us") is a sole proprietorship based in Cape Coral, Lee County, Florida, United States. "You" means the business that signs up for VVOXA, or anyone using our website or asking for a demo call. The person who accepts these terms for a business also agrees to them personally as far as they relate to that person's own conduct (for example, their promise that they have authority).
These terms cover three things: using this website, asking for a demonstration call, and subscribing to VVOXA. Our Privacy Policy explains how we handle personal information. If you and VVOXA sign a separate written agreement, that agreement controls where it conflicts with these terms, and these terms fill any gaps.
2. Accepting These Terms
You accept these terms by completing checkout, by ticking a box that says you agree to them, or by using the service. If you do not agree, do not sign up or use the service.
Stripe keeps a record of your checkout, and we keep a record of your account activity, including your IP address (see section 11.1). We may use those records to show that you accepted these terms.
3. Eligibility: Businesses Only
- Business use only. VVOXA is sold only to businesses and other organizations, for business use. It is not sold for personal, family or household use. By signing up, you confirm that you are buying it for a business.
- Age. The person who buys VVOXA or accepts these terms for a business must be at least 18 years old.
- Authority. If you accept these terms for a business, you confirm that you have the authority to bind it. "You" then means that business.
- Your phone line. You confirm that you control the phone number you connect to VVOXA, and that you are allowed to have its calls answered, recorded and transcribed by an automated system.
- United States. VVOXA is offered for US businesses and US phone numbers.
4. What VVOXA Does
VVOXA is an AI phone receptionist. Here is what the service does, so that you know what you are agreeing to:
- You forward calls from your business number to a phone number we provide. VVOXA answers those calls with a computer-generated voice.
- We build your receptionist from information about your business: your website, public business listings and anything you tell us. You check it, and you can change it from your account or tell us what to change.
- The receptionist answers questions from that information, takes messages, and can book appointments if we set that up for you.
- Every call is recorded (both sides of the conversation) and transcribed. The transcript is sent to an AI model, which writes a summary and picks out details such as the caller's name, callback number and reason for calling. Caller history is kept by phone number, so the receptionist can recognize a repeat caller.
- VVOXA texts your callers only once your business has a texting number of its own, registered for your business with the US carriers; until then the receptionist does not offer texts and none are sent. Once it does: If booking is set up, the receptionist asks a caller, before it books, whether they want a confirmation and a reminder by text at the number they gave. If they say yes, VVOXA texts a confirmation when the booking is made, one reminder about an hour before the appointment (the evening before, for an early appointment), and a note if you move the booking. When a booking is cancelled for you from the VVOXA dashboard, VVOXA texts the caller a note saying so unless you ask us not to; through our API, it does so only when the request asks for it. The note gives your business's phone number, when we have one, so they can rebook. The reminder asks the caller to reply YES to confirm or NO to cancel, and a NO cancels the booking. The note about a move asks YES if the new time works or NO if it does not; a NO there cancels nothing, and the booking waits for you to call the caller with another time. Every text tells the caller they can reply STOP to opt out. VVOXA never starts a text conversation before 8:00 am or after 9:00 pm in your time zone; the confirmation a caller says yes to on a call, the short reply to a caller's YES or NO, and a text a caller asks for during a call, go out straight away. A number you enter in your account yourself, or send us through our API, was given to you by the customer, so VVOXA texts it the same way unless the booking says the customer declined.
- If you connect your Google Calendar from your account, VVOXA reads when that calendar is busy, so the receptionist does not book over it, and writes each booking into it as an event (Privacy Policy, section 7.2).
- You can also connect other services you use: Cal.com, Calendly, GoHighLevel, HubSpot, Notion, or a web address of your own (for example through Zapier, Make or n8n). Each stays off until you connect it (with a key from your own account there when the service needs one, or with the web address you choose) and switch it on for your receptionist. Once it is on, VVOXA reads busy times or page text from it, or sends it call and booking details, as the Privacy Policy (section 7.2) sets out, and section 16 applies. Calendly is a pilot and HubSpot is in beta, so they may change or stop. You can ask us for a service that is not there yet; we do not promise to add it.
- From your account you can change your receptionist's name, your business name, its greeting, whether it says up front that it is automated, its instructions, its business facts, its voice, and your opening hours and closed days. A change is used from the next call. We keep a copy of how we set up your receptionist and a record of each change, and we can put back the original, or any part of it, when you ask or as section 6.1 allows. Your account tells you when we do.
- You see your calls, transcripts, recordings and messages by signing in at vvoxa.com/account. You, and anyone signed in to your account, can also listen live to a call on your lines while it is happening; the caller cannot hear you. VVOXA does not text or email you when a call ends or a message is taken. Unless you turn it off in your account, we email your account address a summary each Monday: the week's calls, bookings and messages, and up to five messages still waiting for a call back, with each caller's name, number and the start of their message. The summary does not replace checking your account. Unless we agree in writing to send them to you another way, it is up to you to check your account regularly.
- You can add people to your account and give each a role (section 18).
- Your account shows your newest 500 calls. Older call records are deleted, and each call's recording is deleted 90 days after the call (Privacy Policy, section 8). If you need a recording or an older record, ask us for a copy before then. The totals in your account (calls answered, bookings made on calls, messages taken) keep counting after old calls are deleted.
4.1 Descriptions on Our Website
Our website describes how VVOXA is expected to work. Response times, any sample calls and similar figures come from our own testing, not from your line, your callers or your internet connection. They are not promises. What you are buying is described in these terms. The prices that bind you are the ones shown at checkout.
5. Fees, Free First Month, Automatic Renewal, Cancellation and Refunds
THE $1,000 SETUP FEE IS CHARGED WHEN YOU SIGN UP AND IS NEVER REFUNDABLE, EVEN IF YOU CANCEL DURING THE FREE MONTH. THE $500/MONTH PLAN IS FREE FOR THE FIRST 30 DAYS. UNLESS YOU CANCEL BEFORE THE 30 DAYS END, $500 IS CHARGED AUTOMATICALLY 30 DAYS AFTER CHECKOUT, AND THEN EVERY MONTH, UNTIL YOU CANCEL.
5.1 Setup fee: $1,000, one time, non-refundable
The setup fee pays for building your receptionist from your business information, connecting your line, and taking it live. It is charged to your card at checkout. It is never refundable, including if you cancel during the free month, stop using VVOXA, or change your mind, except where the law requires a refund. We email you when your receptionist is live.
5.2 Monthly plan: first 30 days free, then $500 a month
- The monthly plan is $500 a month. There is no per-minute charge.
- The first 30 days are free. The free period starts at checkout, not when your receptionist goes live.
- Automatic renewal. Unless you cancel before the free period ends, $500 is charged automatically to the card you gave at checkout 30 days after checkout. The date is shown on your receipt page and in your account. After that, $500 is charged automatically every month on the same date until you cancel.
- The setup email we send after checkout repeats these plan terms, so you have a copy to keep.
- If checkout shows you a different price or no free period, what checkout shows is what applies to you.
5.3 How to cancel, and when it takes effect
- Online: sign in at vvoxa.com/account, choose Manage billing, then cancel your plan. The same page lets you update your card, see past invoices, and change your billing name, address and phone. If you created your account on your receipt page, you'll first confirm your email with a link we send.
- By email: write to info@vvoxa.com from your account email and say you want to cancel. We cancel as of the day we receive your email. If a charge goes through after that day, we refund it.
- Cancel during the free month and the $500 is never charged. Your receptionist keeps working until the free month ends.
- Cancel after that and future charges stop. Your receptionist keeps working until the end of the month you have paid for, then the plan ends.
- Turn off your call forwarding before your plan ends. After it ends, calls you still forward to us may go unanswered.
5.4 Refunds
No refunds for partial months, and no refund of the setup fee, except where the law requires it. The only other refunds we give are the ones these terms promise: a charge made after you asked us to cancel (section 5.3), a second payment made by mistake for the same sign-up (we refund the duplicate), the unused part of a paid month if we end your plan without cause (section 19), and the unused part of a paid month if you cancel because of a change to these terms (section 26).
5.5 Emails about your billing
Stripe, our payment processor, emails the billing email address on your account:
- a reminder about 7 days before your free month ends and the first $500 is charged;
- a receipt for each payment;
- a notice if a payment fails, if your card is about to expire, or if your bank needs you to confirm a payment.
We do not send a reminder before each monthly charge. Keep your billing email up to date: we are not responsible for emails you do not receive because your address is wrong or your email provider filters them.
5.6 Failed payments
If a payment fails, Stripe retries it automatically. If every retry fails, your plan is cancelled, we may stop the service, and the unpaid amount is still owed. While a payment is overdue, we may suspend the service.
5.7 Price changes
We may change the monthly price. If we do, we will email you at least 30 days before the first charge at the new price, and tell you how to cancel. If you cancel before that charge, you never pay the new price. A price change never changes a charge you have already paid.
5.8 Taxes
Prices do not include taxes. You are responsible for any sales, use or similar taxes on your purchase, other than taxes on our income. If we are required to collect a tax from you, we will add it to your invoice after telling you by email.
5.9 Payment processing
Payments are handled by Stripe. Your card details go to Stripe and never reach our servers. By paying, you also agree to Stripe's terms for the payment. You authorize us, through Stripe, to charge your card the amounts described in this section until you cancel.
5.10 Disputed charges and chargebacks
If you think a charge is wrong, email us at info@vvoxa.com before you contact your bank. Most billing questions are fixed faster that way. If you dispute a charge with your bank, we may pause the service while the dispute is open, and we will give the bank our records, including your checkout, your acceptance of these terms, the IP address recorded when checkout was started and when you signed in, your account activity, and records showing the service was delivered. If the dispute is decided in our favor, or you owed the charge, the amount stays owed.
6. Your Responsibilities to Your Callers
Your callers never agree to these terms. You have the relationship with them, so the duties in this section are yours. They are the ones most likely to matter.
6.1 Recording, transcription and AI: notice and consent
VVOXA records every call it answers (both sides), transcribes it, lets you and anyone using your account listen to it live, and sends it to AI and other service providers. You are responsible for giving your callers every notice, and getting every consent, that the law requires for this.
- Many states require every person on a call to agree before it is recorded or listened to by a third party. They include Florida, California, Delaware, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania and Washington, and others in some situations. The law of the caller's state can apply even if your business is somewhere else.
- The usual way to meet these laws is a notice at the very start of each call, for example: "This call is recorded, and you're speaking with an automated assistant." We strongly recommend it. Your greeting does not include this notice unless it is added: check it when you approve your greeting. We will add it at no charge when you ask, and we may add it or a similar notice ourselves at any time. You may not remove a notice the law requires, or ask us to.
- We set up your greeting and settings from what you tell us. Before your receptionist goes live, you must check and approve its greeting. After that, you and anyone on your team with the Admin or Editor role (section 18) can change its name, your business name, its greeting, whether it says up front that it is automated, its instructions, its business facts, its voice and your opening hours from your account, or you can tell us about any change you want. You are responsible for the greeting you approve and for everything written or chosen in your account, as if you had approved it. We may put back our original setup of any part, without asking first, if a change breaks the law or these terms, removes a notice the law requires, or stops the receptionist working properly.
- Your receptionist is instructed never to claim to be a person. It can be set to say it is an automated assistant at the start of every call ("Say it upfront"), or only when a caller asks. With "Say it upfront", every greeting includes the words "I'm an automated assistant." right after the receptionist introduces itself, unless the greeting already says it is automated. With the other settings, the greeting is spoken exactly as written, and the receptionist says it is automated when a caller asks. Some laws require an automated system to identify itself up front. If one applies to you, you must use the "Say it upfront" setting (in your account, or ask us to set it), and must not switch it off.
- If a caller asks whether the call is recorded, the receptionist is instructed to say yes. You must not change it, or ask us to change it, so that it denies that calls are recorded or that it is automated.
- You are also responsible for any notice or consent needed under other laws that apply to you or your industry, including privacy laws and laws about AI.
6.2 Texts and calls to your callers
- If VVOXA sends texts to your callers for you (for example, appointment reminders or a text the receptionist offers during a call), you confirm the caller has agreed to receive them. You are responsible for meeting the Telephone Consumer Protection Act, Florida's Telephone Solicitation Act and any similar law.
- Every text VVOXA sends to a caller names your business and says how to opt out (reply STOP). VVOXA sends no appointment texts for a business whose name it does not have on file. A caller can stop VVOXA's texts at any time by replying STOP, or one of the other standard opt-out words (STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE or OPTOUT). Texts sent through our text provider (Twilio) are then blocked by its standard opt-out handling, and VVOXA marks that caller's bookings so no further text is attempted from that number. A STOP applies to the number it was sent to. Your texts go out only from your business's own texting number, so a STOP sent to it stops only your texts, and a STOP sent to another business's number does not stop yours. Because CANCEL is also the word a reminder invites for "no", a caller who replies CANCEL to a reminder cancels the booking and stops the texts. A caller who later replies START can receive texts again. Only bookings made after that are texted: a booking the STOP covered gets no more texts. If a caller asks you to stop them another way, email us at info@vvoxa.com at once. We will stop VVOXA's texts to that number within 10 business days of receiving your email. The 10 business days the law allows start from the caller's request, not from your email, so do not wait.
- You must not use VVOXA to send marketing texts, or to make marketing or other outbound calls, unless we have agreed to it in writing and you have every consent the law requires.
6.3 Not an emergency service
VVOXA cannot contact emergency services and must not be the line anyone relies on to reach help in an emergency. When a caller says someone is in danger, the receptionist is instructed to tell them to contact emergency services, but it cannot send help, and it can misunderstand. Do not use VVOXA for 911, alarm, medical-emergency, crisis or other life-safety lines. If your line may get urgent calls about safety, health or property, you must keep your own way for those callers to reach a person.
6.4 Health information and HIPAA
VVOXA is not designed or offered for HIPAA-protected health information. We do not sign business associate agreements (BAAs), and our service providers are not set up to receive that information under HIPAA.
If you are a HIPAA covered entity or business associate, such as a dental, medical, chiropractic, therapy or other healthcare practice, you must not use VVOXA to receive, record or store protected health information unless VVOXA has signed a BAA with you in writing. Callers to a healthcare practice usually give their name and the reason for their visit, and that is protected health information. In practice, that means you must not use VVOXA for patient calls without a signed BAA. The same applies to information protected by other health-privacy laws. Whether VVOXA is appropriate for your practice is your decision and your responsibility.
6.5 Confidential and professional calls
Calls to VVOXA are not private between you and your caller: VVOXA and its service providers process them. If you are a lawyer, accountant, or anyone else with a duty of confidentiality, you decide whether using VVOXA is consistent with that duty. We do not take on your professional duties.
6.6 Your business information
The receptionist tells callers what it has been given as fact. You are responsible for the accuracy of your hours, prices, services, policies and other business information, including what we import from your website and public listings, and for what you or anyone using your account adds or imports. Check your receptionist before it goes live, and keep it up to date: change it in your account, or tell us promptly when anything changes. Do not give it information you know to be false.
6.7 Your phone line and carrier
Your phone company's terms still apply to your number. Some carriers restrict call forwarding or automated answering, and forwarding can cost money. Checking that your carrier allows it, and paying for it, is your responsibility. If your carrier suspends or disconnects your number, or your forwarding stops working, we cannot fix it and are not responsible for calls missed as a result. Phone numbers we provide stay ours and are not transferred to you. That includes a number we set up for your business alone to call or text from.
7. Acceptable Use
You agree that you will not, and will not let anyone else:
- Use VVOXA to make unsolicited marketing calls or texts, to autodial, or for any campaign that would break telephone-consumer law.
- Use VVOXA to record, monitor or process calls in a way the law does not allow.
- Present the receptionist as a specific real person, or have it deny that it is automated or that calls are recorded.
- Give the receptionist information you know is false, misleading, or that you do not have the right to use.
- Use VVOXA to harass, threaten, defraud or mislead anyone, or to break any law.
- Try to break into or disrupt the service, test its security without our written permission, or use it to send malware or spam.
- Copy, reverse-engineer or resell the service, or use it to build a competing product, except where the law does not allow this restriction.
- Share your account password, or use VVOXA for a call center, for outbound campaigns, or for lines other than the ones we set up for you.
8. AI Output and Service Availability
- AI makes mistakes. Speech recognition mishears people. AI models can give wrong answers, and can sound confident when they do. Summaries, extracted details and bookings can be wrong or missing. Review anything important (for example, prices, bookings and callback numbers) yourself, and do not rely on VVOXA where a wrong answer could cause real harm without a person checking it.
- No guarantee every call is answered. Calls can be dropped, missed or cut off. Messages and bookings can be lost.
- No uptime promise. VVOXA runs on equipment we operate and on outside providers for phone service, speech recognition, voices, AI, hosting, network and payments. Power, internet or provider outages, and our own maintenance, can stop calls being answered. Keep a way to take calls if VVOXA is down.
9. No Professional Advice
VVOXA is software. It is not a person, an employee, or a licensed professional. Nothing it says to a caller, and nothing on this website, is legal, medical, financial or other professional advice.
10. Demonstration Calls
Asking for a demo call does not create a contract to buy anything. When you enter a phone number on vvoxa.com, tick the box agreeing to the call, and ask for a demo call:
- You confirm that you are the subscriber or regular user of that number, and that the number is a US number.
- You expressly agree that VVOXA may call that number once, right away, using an AI-generated (artificial) voice, to demonstrate the service. Each request is consent to one call. Agreeing is not a condition of buying anything.
- The demo call is recorded and transcribed, and the recording, transcript and the name you typed are kept as described in the Privacy Policy. The assistant starts the call by naming the demo business and saying it is a VVOXA demo. As the consent box says, the call uses an AI-generated voice and is recorded and transcribed, and the assistant answers truthfully if you ask whether it is automated.
- We keep a record of your request and agreement: the number, the name you typed, the time, your IP address, approximate country and browser, and the words you agreed to.
- We will not add the number to a marketing list, and we will not call or text it for any other reason unless you ask us to. End the call at any time by hanging up.
- Do not enter anyone else's number. If you do, you are responsible for any claim that results.
- Calls to VVOXA's demo line, (650) 754-4948, and the texts VVOXA sends about bookings made on it, are covered by our Demo Line Text Message Terms.
11. Data, Logging and Privacy
The Privacy Policy explains in detail what we collect, who receives it and how long we keep it. This section sets out the main points as part of our contract.
11.1 We log your IP address and account activity
We log your IP address. When you, or anyone using your account, signs in, tries to sign in, uses your account, or starts checkout on our website, we record:
- the IP address;
- the approximate country (from our network provider, Cloudflare);
- the browser and device type (user agent);
- the page or action, and the time;
- your account ID and email, when you are signed in.
This covers sign-ins and failed sign-in attempts, the pages you view in your account, the calls you open, opening Manage billing, starting checkout, password resets and support requests. For each account we also keep the time, IP address and country of the last sign-in, and for each signed-in browser its device type and IP address. We also record the payments and disputes Stripe reports to us; those records come from Stripe and carry no IP address. Demo-call requests are recorded as section 10 describes.
Cloudflare carries all traffic to vvoxa.com and sees every visitor's IP address and request. Our public pages use Cloudflare Web Analytics, which does not use cookies. Stripe keeps its own records of your payments.
We use these records to keep the service secure, prevent fraud and abuse, give support, bill you, enforce these terms, and as evidence in disputes and chargebacks, including to show that you accepted these terms. We keep them as long as we need them for those purposes. Older log entries are overwritten as the logs fill up.
11.2 Your callers' information
For each call, VVOXA keeps the caller's number, the number called, the time, the length, how the call ended, the recording, the full transcript, the AI summary and extracted details, messages taken, texts sent and received, and any booking. Recordings are deleted 90 days after the call, and we keep the newest 500 calls and at most 5,000 message-log entries for your business. When that log is full, the oldest texts and call-log entries are deleted first, but the newest 500 of them are always kept; after that, the oldest messages taken are deleted (Privacy Policy, section 8). Parts of transcripts and phone numbers also appear in our system logs. We process your callers' information for you, to provide the service to you. You are responsible for having a lawful basis to collect it and for telling your callers what you do with it.
Our staff can see your call records, and can listen to calls while they happen, to set up, check, fix and support your receptionist. You, and anyone signed in to your account, can also listen to calls on your lines while they happen.
11.3 How we use call content
We use your call content only to provide, support, secure and fix the service for you, to comply with the law, and to enforce these terms. We do not sell it, use it to train AI models, or use it for our own marketing. Our service providers (for phone service, speech recognition, AI, voices, hosting and email) process it to deliver their part of the service, under their own terms, and some of those terms may let a provider use data to improve its own services (for example, we have not turned on Deepgram's opt-out from model improvement). They are listed in the Privacy Policy. Until 2 October 2026 we also kept a copy of call records (transcripts, contacts and messages, but not audio), receptionist settings and a billing summary with a separate hosting provider. We stopped adding to it then, and we will delete what it still holds.
11.4 Security and breach notice
We use reasonable administrative and technical measures to protect your data. No system is completely secure, and we do not promise that the service or your data will never be accessed without permission. The service runs on equipment we operate and on our providers' systems. If we learn of a security breach affecting your data, we will tell you without unreasonable delay, and no later than 10 days after we determine that it happened or have reason to believe it did. We will also give you the information we have that you need to meet your own duties, including to your callers. You are responsible for keeping your password safe and for everything done in your account.
11.5 Deleting data and when your plan ends
Your account does not yet let you delete calls yourself. To have call records, recordings, contacts or your account deleted, email info@vvoxa.com. We will delete what you ask within a reasonable time and confirm when it is done. Copies in system logs may remain until they are overwritten, and we may keep records we need for billing, taxes, security, legal claims or disputes.
Apart from the limits in section 11.2, we do not delete your data automatically, including when your plan ends. Ask us for a copy of your call records before or within 30 days after your plan ends, and we will send what we still hold in a common format. We may delete your data at any time after your plan ends.
12. Support Messages and Website Import
When you send us a support request, we keep your name, email and messages. To build your receptionist, we fetch your website, may look up public listings for your business through a local-business data service, and send that material to an AI provider. Do not send card numbers, passwords, health records, or other people's personal information in support requests. You confirm that you have the right to let us use the website content and other material you give us.
12.1 No Confidential Relationship Before You Subscribe
Information you send us before you subscribe is not treated as confidential, so please do not send anything sensitive in an inquiry. Once you subscribe, section 11 applies to your data.
13. Intellectual Property and Your Content
The VVOXA software, website, name and branding belong to VVOXA. While your plan is active, you have a non-exclusive, non-transferable right to use the service for your business, and nothing more.
Your own material stays yours. That includes your business information, logo, website content, call records, transcripts and contacts. You give us a license to host, copy, process and use that material only as needed to run the service for you and as these terms describe. You confirm you have the right to give us that license.
14. Publicity and Sample Calls
We may describe our work in general terms. We will not publish your call recordings, transcripts or caller details, or name you as a customer, without your written permission. Any sample calls on our website come from our own test calls, not from customer lines.
15. Feedback
If you suggest an improvement, including through the feedback box or an integration request in your account, we may use it without paying you or naming you. This gives us a right to the idea only, not to your data.
16. Third-Party Services and Links
VVOXA relies on outside providers, named in the Privacy Policy. Their availability is outside our control, and we are not responsible for their failures. Links from our pages to other companies' sites are for convenience and are not an endorsement.
Services you connect. When you connect another service to VVOXA and switch it on (section 4), you tell us to send it, and read from it, what the Privacy Policy (section 7.2) describes. You confirm that you are allowed to connect it, that any key or web address you give us is yours to give, and that sending your callers' details there meets that service's terms and the law, including any notice or consent your callers need. The service is yours, under your own agreement with it: its terms and privacy policy cover what it receives, and it may send your callers messages of its own. We are not responsible for what it does with the information, for its failures, or for changes it makes that stop the connection working. Give VVOXA a key with only the access it needs. Disconnecting stops VVOXA using the key; delete it at that service too. Text you import from a connected service (for example, a Notion page) becomes part of your business information, and section 6.6 applies to it. We may switch a connection off if it keeps failing, puts the service at risk, or breaks these terms.
17. Changes to the Service
We may change, suspend or stop any part of the website or the service. If a change materially reduces what a paying plan includes, we will email you at least 30 days before it takes effect, and you may cancel before then.
18. Your Account
Keep your account email, billing details and contact details current. We send notices to your account email. You are responsible for what anyone does with your password.
Team members. You can invite people to use your account: up to 10 people in all, counting you and any invitation still waiting to be accepted (an invitation expires after 72 hours). Each person signs in with their own email and password and has one role. Admins can do almost everything, including billing, connecting other services, and inviting or removing Editors and Viewers. Editors can change the receptionist (its words, voice and opening hours, including by importing text from a Notion page already connected), calendar blocks and messages, but cannot see billing, connect or disconnect other services, or change who is on the team. Viewers can see calls, recordings, messages and the calendar, and listen live to calls, but cannot change anything except their own password and two-step sign-in. The person who signed up stays the account owner. Only the owner can add or remove Admins, confirm the account's email and turn the Monday email on or off, and only we can move ownership to someone else. Everything a team member does in your account is done for you, and you are responsible for it as if you had done it yourself, including making sure they may see your callers' information. Remove anyone who should no longer have access; removing someone signs them out at once.
19. Suspension and Termination
- You can end your plan at any time by cancelling (section 5.3).
- We may suspend or end your service, with or without notice, if you do not pay, if you break these terms, if you reverse a charge you owed, if your use creates legal risk or harm to us, our providers or others, or if the law or a provider requires it. If we end your plan for any of these reasons, we do not give a refund.
- We may also end your plan without cause by emailing you at least 30 days ahead. If we do, we refund the unused part of any month you have already paid for. The setup fee is not refunded.
- When your plan ends, your right to use the service ends, and we may stop the receptionist answering your calls at any time after that. Amounts you already owe stay owed.
20. Disclaimer of Warranties
THE SERVICE AND THE WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL ANSWER EVERY CALL, UNDERSTAND EVERY CALLER, GIVE ACCURATE ANSWERS, RECORD, TRANSCRIBE, SUMMARIZE OR DELIVER EVERY MESSAGE OR BOOKING CORRECTLY, OR BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT IT WILL MEET YOUR NEEDS OR GAIN YOU ANY BUSINESS. Nothing on our website, in our emails or said by anyone working on VVOXA is a warranty unless it is in these terms.
21. Limitation of Liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- NEITHER VVOXA NOR ITS OWNER, OPERATORS, CONTRACTORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OR CUSTOMERS, MISSED OR DROPPED CALLS, LOST OR WRONG MESSAGES, MISSED OR WRONG BOOKINGS, LOST DATA, OR LOSS OF GOODWILL, however caused and under any legal theory (contract, tort including negligence, strict liability, statute or otherwise), even if we were told they might happen.
- OUR TOTAL LIABILITY FOR ALL CLAIMS TOGETHER ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR THE WEBSITE WILL NOT EXCEED THE AMOUNT YOU PAID VVOXA IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE FIRST CLAIM.
- These limits apply even if a remedy fails of its essential purpose.
Our prices reflect these limits. Nothing in this section limits liability that the law does not allow to be limited, such as liability for our fraud or intentional misconduct. It also does not limit what you owe us in fees or under section 22.
22. Indemnification
You will defend, indemnify and hold harmless VVOXA and its owner, operators and contractors from and against any claim, demand, fine, penalty, loss, damage, settlement and cost (including reasonable attorneys' fees) arising out of or relating to:
- any claim by one of your callers, customers or employees, or by a regulator, about your use of VVOXA;
- any failure to give notice or get consent for recording, transcription, AI handling, texts or calls (section 6);
- health or other protected information received through your line without a signed BAA (section 6.4);
- your business information, greeting, settings and other content, including changes made in your account by you or anyone using it, and what you tell us to send to services you connect (section 16);
- your breach of these terms or of any law; and
- a demo-call number you entered that was not yours (section 10).
This applies even if the claim arises in whole or in part from VVOXA's own negligence, except to the extent a court or arbitrator finds the loss was caused by our gross negligence or intentional misconduct. We will tell you about a claim promptly and let you control the defense, but you may not settle a claim in a way that admits fault by us or binds us without our written consent. We may take part with our own lawyer at our own cost.
23. Disputes: Binding Arbitration, Class-Action Waiver and Jury Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND VVOXA TO RESOLVE DISPUTES BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT, AND WAIVES THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. YOU CAN OPT OUT OF ARBITRATION WITHIN 30 DAYS (SECTION 23.7).
23.1 Talk to us first
Before either of us starts an arbitration or a lawsuit, the one with the complaint must send the other a written notice describing it and the result wanted. Send yours to info@vvoxa.com with your business name and account email. We will send ours to your account email. We then both try in good faith to settle it for 30 days. Deadlines to bring the claim are paused during those 30 days.
23.2 Binding arbitration
Any dispute, claim or controversy between you and VVOXA arising out of or relating to these terms, the service, the website, billing, or our relationship (a "Dispute") will be resolved by final and binding arbitration, except as section 23.3 says. This includes Disputes about whether a Dispute must be arbitrated. The arbitration will be run by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (including its Expedited Procedures where they apply), before one arbitrator. It will take place in Lee County, Florida, unless we both agree otherwise, and hearings may be held by video. The arbitrator's decision is final, and any court with jurisdiction may enter judgment on it. The Federal Arbitration Act governs this section. Fees of the AAA and the arbitrator are paid as its rules provide, and the arbitrator may reallocate them. Each of us pays our own attorneys' fees, unless a law or the AAA rules allow the arbitrator to award them.
23.3 Exceptions
- Either of us may bring an individual claim in small-claims court in Lee County, Florida, if it qualifies.
- Either of us may ask a court for an order to stop infringement or misuse of intellectual property, or unauthorized access to the service, while an arbitration is pending.
23.4 Class-action waiver
YOU AND VVOXA MAY BRING CLAIMS AGAINST EACH OTHER ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine more than one party's claims and may award relief only to the individual party asking for it. Despite section 23.2, only a court, not an arbitrator, may decide whether this waiver is valid and enforceable. If a court decides this waiver cannot be enforced for a particular claim, that claim (and only that claim) goes to court under section 24, not to arbitration.
23.5 Many similar claims
If 25 or more similar arbitration demands are filed against VVOXA by or with help from the same lawyers or organizations, you and VVOXA agree to ask the AAA to administer them in batches of up to 25, one batch at a time, with one arbitrator for each batch. Where the AAA's Mass Arbitration Supplementary Rules apply, they control. Each claim is still decided individually, on its own facts, and no decision binds anyone who was not a party to it. Deadlines to bring the claims are paused while they wait.
23.6 Jury-trial waiver
IF A DISPUTE GOES TO COURT FOR ANY REASON, YOU AND VVOXA EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
23.7 30-day right to opt out of arbitration
You can opt out of arbitration by emailing info@vvoxa.com within 30 days after you first accept these terms, with the subject line "Arbitration opt-out" and your business name and account email. If you opt out, Disputes go to court under section 24, and the class-action waiver (section 23.4) and jury waiver (section 23.6) still apply there. Opting out does not affect anything else in these terms.
23.8 Changes to this section
If we change this section, the change does not apply to a Dispute either of us has already given notice of. You may reject a future change to this section by emailing us within 30 days after the change takes effect, and this version will then continue to apply to you.
24. Governing Law and Venue
These terms are governed by the law of the State of Florida, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs section 23. Any Dispute that is not arbitrated must be brought only in the state courts located in Lee County, Florida, or the United States District Court for the Middle District of Florida, Fort Myers Division. You and VVOXA both agree to the personal jurisdiction of those courts.
25. Copyright Concerns
If you believe material on this site infringes your copyright, write to info@vvoxa.com identifying the work, the material you say infringes it, and your contact details, with a statement that you hold the rights or act for the holder. We will remove material that infringes and will end the accounts of repeat infringers.
26. Changes to These Terms
We may revise these terms. The date at the top shows the latest version. For changes that materially affect your rights, we will email customers at least 30 days before the change takes effect. Continuing to use the service after that means you accept the revised terms. If you do not accept them, cancel before the change takes effect. If you cancel because of the change, and it takes effect partway through a month you have already paid for, we refund the unused part of that month. The setup fee is never refunded. Section 23.8 covers changes to the arbitration section.
27. General Provisions
- Entire agreement. These terms are the whole agreement between us about their subject, and replace anything said or written before, including on our website and in sales conversations.
- Severability. If a court or arbitrator finds a provision unenforceable, it is enforced as far as it can be, and the rest continues in force (section 23.4 has its own rule).
- No waiver. Not enforcing a term once does not waive it.
- Assignment. You may not transfer these terms without our written consent. We may transfer them to a company we form or to anyone who takes over the business.
- Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, including power, internet or equipment failures, outages at our phone, speech, AI, hosting, network or payment providers, cyberattacks, storms, hurricanes, floods, and acts of government. This does not excuse paying fees you owe.
- No third-party rights. Nobody other than you and us may enforce these terms, except the people protected by sections 21 and 22.
- Independent parties. We are independent contractors. These terms do not create a partnership, employment, agency or joint venture.
- Electronic notices and signatures. You agree to get notices, receipts and other communications from us by email or on our website, and that clicking or ticking to accept is your signature. A notice we email to your account email counts as given when sent. Notices to us must go to info@vvoxa.com.
- Headings. Headings and the summary box at the top are for convenience only. "Including" means "including without limitation".
- Survival. Sections 5 (for amounts owed), 6, 11, 13 and 19 through 27 continue after your plan ends.
